国际贸易与经济合作中经常出现的一种条款。有广义和狭义之分。广义的限制性商业惯例往往与违反竞争法或反垄断法的商业行为联系在一起；狭义的限制性商业惯例往往与国际技术许可中的限制竞争或妨碍公平竞争的行为联系在一起，是指在国际技术许可合同中，由技术出让方对技术受让方施加的、造成不合理限制并妨碍公平竞争的条款。又称限制性商业条款或限制性商业做法。
